Business Maintenance

All Ohio Corporations and LLCs Must File: 

  • Articles of Incorporation
    Ohio corporations  and LLCs are formed by filing the Articles of Incorporation or Articles of Organization with the Secretary of State. It costs $99 to register an Ohio corporation or an Ohio LLC.
  • Beneficial Ownership Information Report
    Nearly all businesses formed by filing with the state of Ohio must file a federal Beneficial Ownership Information (BOI) Report with the Financial Crimes Enforcement Network (FinCEN) following business formation.   • Business Report
    Ohio corporations and LLCs do not need to file annual or biennial reports with the Secretary of State.

Ohio Business Taxes

Personal Income Tax
The Ohio Individual income tax rates range from 0.495% to 4.997%.

Commercial Activity Tax
This tax applies to all business entities. If your business’s taxable gross receipts are between $150,000 and $1 million a year, you must pay an annual minimum tax. If your gross receipts are over $1 million a year, you must pay the tax quarterly.
If your gross receipts are less than $1 million you just pay the minimum $150 tax. Gross receipts over $1 million are taxed at .26% plus an annual minimum fee based on your gross receipts. 

Ohio Business License

Ohio does not have a state business license requirement, but you may need other licenses/permits to operate.
