Business Maintenance
All Illinois Corporations and LLCs Must File:
- Articles of Incorporation
File your Articles of Incorporation or Articles of Organization with the Illinois Secretary of State and pay the filing fee.
- Beneficial Ownership Information Report
Nearly all businesses formed by filing with the state of Illinois must file a federal Beneficial Ownership Information (BOI) Report with the Financial Crimes Enforcement Network (FinCEN) following business formation. - Annual Report
Illinois corporations and LLCs must file the Illinois Annual Report with the Secretary of State each year. It is due by the last day of the month preceding the anniversary of your incorporation or organization date. So if you incorporated on January 1st, your annual report would be due by December 31st each year. The filing fee is $75. Corporations also pay at least $25 for the state’s franchise tax. Online filings are charged an additional $50 for expedited processing.

The maximum Illinois individual income tax rate is 3.75%.
Corporate Business Tax
The tax rate for Illinois corporations is 5.25% of net income.

Illinois does not have a statewide business license but you will need to apply for the appropriate local licenses and permits.
