Business Maintenance

All Oklahoma Corporations and LLCs Must File: 

  • Articles of Incorporation
    Oklahoma corporations are formed by filing the Articles of Incorporation or Articles of Organization with the Secretary of State. It costs $50 minimum to form an Oklahoma corporation or $100 to form an Oklahoma LLC.
  • Beneficial Ownership Information Report
    Nearly all businesses formed by filing with the state of Oklahoma must file a federal Beneficial Ownership Information (BOI) Report with the Financial Crimes Enforcement Network (FinCEN) following business formation.   • Annual Certificate
    Oklahoma LLCs must file annual reports with the Secretary of State. There is a $25 fee to file the report.
    Oklahoma corporations don’t file the annual report with the SOS, but they do have an annual franchise tax requirement with the Oklahoma Tax Commission.

Oklahoma Business Taxes

Personal Income Tax
The Oklahoma Individual income tax rates range from 0.5% to 5.25%.

Commercial Activity Tax
The Oklahoma corporate income tax rate is 6%.

Franchise Tax
All corporations that do business in Oklahoma must file the franchise tax. The tax rate is $1.25 for each $1,000 of capital invested or used in Oklahoma. The franchise tax return is due July 1.

Oklahoma does not have a general business license requirement. However you may need occupational or local licenses to operate.
